Vehicle & Powersports Consignment Form

Remove all personal property before consignment. Dealer is not responsible for personal items left in or on the unit. Consignor authorizes Dealer to photograph, show, and test-drive or test-ride the unit consistent with Dealer policy.

Initial Term: This Agreement is effective for ninety (90) days from the Consignor's signature date ("Initial Term").

Month-to-Month After 90 Days: After the Initial Term, if not terminated in writing, this Agreement continues on a month-to-month basis on the same terms.

No Daily Lot Rent / No Check-In Fee During Active Consignment: Dealer will not charge daily lot rent, storage, or a check-in fee while the unit is actively consigned under this Agreement.

Early Termination During Initial Term: If Consignor removes the unit or requests removal before 90 days, Consignor agrees to pay a one-time early termination fee of $500, plus any unpaid amounts due on separately authorized repair, detail, or reconditioning orders.

Termination After 90 Days: After the Initial Term, Consignor may terminate with at least 48 hours' written notice and remove the unit without an early termination fee, provided any separately authorized balances are paid.

Post-Termination Pickup & Storage Fees: After written termination by either party, or after Dealer provides written notice that the unit must be removed, Consignor has five (5) calendar days to remove the unit. Beginning on day 6, a storage fee of $50 per day will accrue until the unit is removed. Storage fees, any transport or towing costs, and any authorized balances must be paid before release. If the unit is left for an extended period, Dealer may pursue lawful remedies available under Colorado law, including storage liens and abandoned unit procedures.

Consignment Fee: Top Edge commission is 10% of the actual selling price, subject to a minimum fee of $1,500 for Autos, RVs, and Other units, and $1,250 for Powersports.

Protected Seller Floor: Your floor is the minimum net amount you want back after commission, known payoff, and the wire processing fee if selected. Any sale below your protected floor still requires your written approval.

Listing & Negotiation Strategy: Top Edge may list, advertise, and negotiate the unit above your requested target price or above the minimum amount needed to satisfy your floor when we believe that is the best strategy for market positioning and negotiation.

Seller Proceeds Above Floor: If the unit sells for more than the amount needed to satisfy your floor, you receive the additional proceeds after Top Edge's commission on the actual selling price and any separately authorized deductions.

If Dealer sells the unit during the term of this Agreement, the amount due to Consignor will be paid within 20 calendar days after the date of sale, provided Dealer has received cleared funds and all documents needed to transfer ownership, and lien payoff has been processed with title or lien release received if applicable.

All mechanical, cosmetic, detailing, or reconditioning work will be quoted and authorized on separate repair orders or estimates and billed separately to Consignor, or deducted from sale proceeds only if agreed in writing. This Agreement does not authorize any specific repairs or charges by itself.

Consignor authorizes Dealer to photograph and advertise the unit, list it on Dealer websites and third-party listing platforms, and display it for sale at the selected Dealer location.

The unit remains titled in Consignor's name until sale is completed and any lien is paid off. Consignor agrees to maintain appropriate insurance coverage, including liability and, as applicable, comprehensive/collision, until the sale is complete and not cancel coverage early.

Consignor holds Dealer, its owners, employees, and agents harmless from loss or damage to the unit by fire, theft, vandalism, weather, or other causes, except for Dealer's gross negligence or intentional misconduct.

If Consignor advertises or attempts to sell the unit privately while it is on consignment, Consignor will coordinate advertised prices and terms with Dealer and avoid any advertising that conflicts with Colorado dealer law or misrepresents Dealer.

This Agreement is governed by Colorado law. Venue for any dispute shall be in Montrose County or Adams County, Colorado, at Dealer's election. This Agreement is the entire agreement and may be modified only in writing, including clearly documented email or text approval.
